OFFICIAL RULES

Contest Concept: The AgRacer racing application (the “Game”) is a game of skill, and winners of the monthly contest (the “Contest”) will be determined by the objective criteria set forth herein. Winners will be determined based on the cumulative score achieved by each participant in the Game each calendar month, with first prize being awarded to the participant with the highest cumulative score, second prize to the participant with the second highest cumulative score, and third prize to the participant with the third highest cumulative score. In the event of a tie for the first, second or third highest cumulative score in any month, the participant that achieved their cumulative score on the earlier date and time during that month shall be deemed to have the higher cumulative score. The Game may not be used in any form of gambling.

Eligibility: Contest participants must be 18 years of age or older (if the age of a majority in a jurisdiction is different than 18, you must be of the age of majority within your jurisdiction to be eligible to receive a prize) at time of registration and must be legal residents of one of the fifty (50) United States or the District of Columbia; knowledge of and adherence to any and all state or local laws or regulations regarding this Contest are the exclusive responsibility of each participant. Notwithstanding the foregoing, if a participant under the age of 18 (or under the age of majority in the jurisdiction where the participant lives if different than 18) wins a prize, then if that participant’s parent or legal guardian signs and returns an affidavit of eligibility and a liability release as set forth in these Official Rules, and otherwise agree to be bound by terms and conditions set out in these Official Rules, the prize will be awarded to the parent or legal guardian. In no case may anyone under the age of 13 participate in the Contest. Directors, officers, employees, representatives, agents and consultants of the contest sponsor and each of their respective distributors, divisions and subsidiaries, their immediate families, and directors, officers, consultants, representatives, agents and employees of the game promotional partners are not eligible to win any prize. The contest operator reserves the right to disqualify any participant who is not eligible to participate in the Contest or is otherwise in violation of the terms and conditions set forth herein. Participants must have a valid, unrestricted email address, and either a valid iTunes Store account or valid Android Market account. Void where prohibited or restricted by law. Those excluded based on residence criteria may play, but WILL NOT be eligible to receive any prizes; participants found to be ineligible to win a prize will be dismissed from Contest results and the prize will be awarded to the eligible participant with the next highest cumulative score. Residents of Rhode Island and Arizona are not eligible to participate in the Contest.

Fee: The Contest is open to any eligible participant who is the owner of a duly licensed copy of the AgRacer application purchased through the iTunes Store, Apple App Store or the Android Market. There is no fee to participate in the Contest.

How to Play: The owner of a duly licensed copy of the AgRacer application may elect to participate in the Contest by registering through the Game as a participant and providing the required information, including a valid, unrestricted e-mail address. The contest operator will track each participant’s cumulative score in the Game each month, including the time and date on which the score was achieved. There is no limit on the number of eligible participants who may participate in the Contest each month.

The Contest is played on a monthly basis. The Contest participant with the highest cumulative score each calendar month from playing the Game shall win first prize; the participant with the second highest cumulative score each calendar month from playing the Game shall win second prize; and the participant with the third highest cumulative score each calendar month from playing the Game shall win third prize. In the event of a tie for the first, second or third highest cumulative score in any month, the participant that achieved their cumulative score on the earlier date and time during that month shall be deemed to have the higher cumulative score. No participant may win more than one prize in any month. The winner of any monthly prize is not eligible to win another prize until the seventh month after the month in which they won the prize. The first monthly Contest shall commence on March 1, 2012, with monthly Contests to follow until terminated by the contest sponsor as provided in these Official Rules.

Scoring: Scoring for individual Game races is based on the type of vehicle the participant uses in the race, the difficulty level of the race, and where the participant finishes in the race. Race scores are calculated as follows:

A participant’s score for any single race is the product of their race finish points multiplied by the game difficulty level percentage multiplied by the vehicle point multiplier. For example, a large tractor that comes in 2nd place on a medium difficulty level course would score 1440 points (300 x 80% x 6.0 = 1440). Points are only earned for first, second or third place finishes in a race.

Each participant starts with a Lawn Tractor and can upgrade to a vehicle with a higher point multiplier by using Fastbucks. Fastbucks are awarded based on the race finish points earned multiplied by the race difficulty level for that race. For example, a 3rd place finish in a medium difficulty race would earn $160 Fastbucks (200 x 80% = 160). The cost in Fastbucks to upgrade from a Lawn Tractor to a vehicle with a higher point multiplier is as follows:

A participant that has previously upgraded to a vehicle with a higher point multiplier may revert back to the Lawn Tractor and receive a Fastbucks credit equal to 40% of the original Fastbucks upgrade price of that vehicle. The contest operator reserves the right to add additional vehicles to the Game in the future.

In addition to acquiring Fastbucks through racing results, participants may also purchase Fastbucks for the following amounts:

Fastbucks have no monetary or redemption value and may only be used by a Game or Contest participant to upgrade to a vehicle with a higher point multiplier as set forth in these Official Rules. Fastbucks are non-refundable and non-transferable.

Monthly Cumulative Scores: The cumulative score shall consist of the combined score of all Game races completed by a participant beginning at 12:00:00 A.M. of the first day of a calendar month and ending on 11:59:59 P.M. EST on the last day of the same calendar month. Only scores from Game races completed during said time period are eligible for calculating a participant’s cumulative score for that month.

Odds of Winning: Chances of winning a monthly prize depends upon the total number of eligible participants during that month. There is no minimum or maximum number of eligible participants who may participate in the Contest each month.

Prizes: Prizes will be awarded on a monthly basis. First prize will be awarded to the participant with the highest cumulative score, second prize will be awarded to the participant with the second highest cumulative score, and third prize will be awarded to the participant with the third highest cumulative score. In the event of a tie for the first, second or third highest cumulative score in any month, the participant that achieved their cumulative score on the earlier date and time during that month shall be deemed to have the higher cumulative score. Prizes are not transferable and must be accepted as awarded, no cash equivalents, no substitutes, except as determined by contest operator in its sole discretion. The contest operator reserves the right to substitute a prize for one of equal or greater value in the event that an advertised prize is unavailable. Contest operator shall be responsible for the cost of shipping the prize to the winners. Any and all federal, state, and local taxes in connection with the prizes are the sole responsibility of the prize winners. All costs and expenses not specified herein related to the acceptance and use of any prize are the sole responsibility of the winners. Prize winners will be notified via e-mail within five (5) business days of the end of each calendar month. Prize winners will receive a tax Form 1099-M and will be required to sign an affidavit of eligibility and a liability release within ten (10) days of attempted notification. Failure to comply within this time period may result in disqualification and awarding of the prize to the participant with the next highest cumulative score. The contest operator, sponsor, and their affiliated entities are not responsible for any damages or injury incurred as a result of winning. A list of the current monthly prizes and their approximate retail values are available through the Game or at www.agracer.com.

Box 248, Buckner, Kentucky 40010. If requesting this information via postal mail, please enclose a stamped, self-addressed envelope with request. Residents of Vermont may omit return postage on rules requests.

Additional Rules and Regulations:

Errors: In the event that you believe the contest operator has made an error, it is the sole responsibility of you, the Contest participant, to inform the contest operator within five days of the end of the calendar month in which you believe the error occurred. All efforts will be made to correct the error; however the decision of the contest operator is final.

Publicity: Contest operator reserves the right to use a winning participant’s name, city and state of residence for publicity. Winners automatically grant to the contest operator the right to use their name, city and state of residence in advertising and promotion of this Contest without further permission or compensation unless prohibited by law.

Contest Cancellation: The contest operator reserve the right to cancel the Contest for any reason and without prior notice.

Gambling: Neither the Contest nor the Game may be used for any form of gambling.

General: By entering the Contest, you (1) acknowledge acceptance of these Official Rules and agree to adhere to and be bound by them, and (2) release, and waive any rights of recovery against, the contest operator, the contest sponsors (including but not limited to Fastline Publications, LLC), and their respective contractors, agents, officers, and employees for any claims, expenses, damages and/or liability incurred by you in connection with or related to the Game and/or the operation of, or your participation in the Contest, and (3) agree to hold the contest operator harmless from all typographical, statistical, transaction, and communication errors or omissions, and (4) understand and agree that the contest operator has the right to disqualify any participant for suspected cheating or non-adherence to these Official Rules.

Additional Rules and Legal Disclaimers: All federal, state and local laws and regulations apply. The contest operator is not responsible for lost, late or misdirected scores, for incorrect, inaccurate or incomplete registration information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions. The contest operator reserves the right to halt, modify or terminate the Contest at any time and for any reason.

The section headers contained herein are provided for convenience purposes only and shall not be used to modify or interpret these Official Rules. In the event that any provision of these Official Rules is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the Official Rules shall remain valid and enforceable according to its terms. The parties intend that the provisions of these Official Rules be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable.

The contest operator is not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of winners or the distribution of the prizes. The contest operator reserves the right to change these Official Rules at any time in its sole discretion. If any modification to the rules occurs, participants will be notified via e-mail to the e-mail address on record at the time of notification. If for any reason the Game or Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the contest operator which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the contest operator reserves the right at its sole discretion, to disqualify any individual or individuals who tampers with the Game, the Contest or the scoring process, and to cancel, terminate, or suspend the Contest. In such event, the contest operator further reserves the right, at its sole discretion, to award prizes to the eligible participants with the highest, second highest, and third highest scores as of the termination date.

Contest operator assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, participants’ Game or Contest scores. The contest operator is not responsible for any problems or technical malfunction of any wireless or wired telecommunications or data network, computer online systems, servers, providers, computer equipment, software, failure of any email, sms text message, registration or score to be received on account of technical problems or traffic congestion on the Internet, any telecommunications service provider’s wireless or wired network, or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer or wireless telecommunications device related to or resulting from the use of the Game or participation in the Contest.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY CONTEST RELATED SOFTWARE, APPLICATION OR WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, AGRACER LLC RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity of a participant, the authorized account holder of the e-mail address submitted at time of registration for the Contest will be deemed to be the participant. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Contest operator reserves the right to halt, modify, or suspend the Contest at any time due to situations beyond the control of the Contest sponsor such as strikes, acts of God, etc. In the event that the Contest is challenged by any legal or regulatory authority, contest operator reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, contest operator shall have no liability to any participants who are disqualified due to such an action.

Disclaimer of Warranties: You expressly understand and agree that: Your use of the Game and participation in the Contest is at your sole risk. The Game is sold and all Contest prizes are awarded AS IS and WITHOUT WARRANTY OF ANY KIND, express or implied (including without limitation, warranty of merchantability or fitness for a particular purpose).

Limitation of Liability: You expressly understand and agree that the contest operator is solely responsible for all aspects of the Game and the Contest and that Fastline Publications, LLC and any other Game or Contest sponsors have no responsibility whatsoever, and that said sponsors shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but no limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the sponsors have been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Game; (ii) unauthorized access to or alteration of your transmissions of data; (iii) statements or conduct of any third party using the Game or participating in the Contest ; or (iv) any other claims arising out of your use of the Game and/or participation in the Contest.
